Nikola encourages all stockholders, including individual holders, to vote regardless of the number of shares held. Stockholders, as of the close of business on April 4, 2022, should vote their shares even if they no longer own them. Stockholders must actively vote their shares so they can be counted as FOR each of the proposals.

Specifically, your vote for Proposal 2 is very important. This proposal allows Nikola to increase the number of authorized shares of the Company's common stock. A majority of all outstanding common stock must be voted to approve this proposal and so we urge you to vote today.

Make sure you vote before 11:59 p.m., Eastern Time on June 29, 2022.
